PD Shareholders

What Makes PD Special

PD is organized as a private-law entity (Gesellschaft mit beschränkter Haftung, GmbH) and is 100 % publicly owned. PD shareholders — that is, PD clients — include the federal government, federal states, municipalities, public-law corporations and institutions, as well as other public organizations and two shareholders’ associations. They exercise control over PD through their voting rights and cooperation responsibilities.

This ownership structure allows PD to act directly on behalf of its shareholders. 

 

PD is the in-house consultancy for the public sector.

An Overview of PD Shareholders

PD shareholders are divided into different groups. What they all have in common is that they are contracting authorities as defined in Section 99 of the Competition Act (Gesetz gegen Wettbewerbsbeschränkungen, GWB). PD shareholders represent all levels of government.

Contracting authorities wishing to become PD shareholders may acquire shares directly from PD. Interested state, and particularly municipalities, along with a range of other public institutions, can easily become shareholders and benefit from the services provided by PD. 

One exception applies to shareholders’ associations: they must acquire additional shares directly from the federal government. 

Because the number of shares is limited and demand regularly exceeds availability, PD conducts an internal selection process to determine new shareholders.

The PD's shareholder structure comprises 275 public-sector shareholders. 

Current PD Shareholder Structure

The main PD shareholder is the Federal Government of Germany, holding 40 percent of the voting shares. The PD shareholder structure comprises the shareholder groups federal government, federal states, municipalities, public corporations, institutions under public law as well as other public organisations, institutions and PD shareholders‘ associations.
